By accessing or using Gotolawya's legal technology platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms constitute a legally binding agreement between you and Gotolawya Platforms Ltd ("Company," "we," "our," or "us"). Your use of the Service is also governed by our Privacy Policy, which is incorporated by reference into these Terms.

3. User Accounts and Registration

3.1 Account Creation

To use our Service, you must create an account by providing accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.2 Professional Requirements

Our Service is intended for use by licensed attorneys, law firms, and legal professionals. By using the Service, you represent and warrant that:

  • You are a licensed attorney in good standing with the Nigerian Bar Association or equivalent legal professional body
  • You have the authority to enter into this agreement on behalf of your firm or organization
  • You will comply with all applicable professional conduct rules and regulations, including the Rules of Professional Conduct for Legal Practitioners in Nigeria
  • You will maintain appropriate professional liability insurance as required by Nigerian law
  • You will comply with all applicable Nigerian legal and regulatory requirements

3.3 Account Security

You must:

  • Use strong, unique passwords for your account
  • Enable multi-factor authentication when available
  • Immediately notify us of any unauthorized use of your account
  • Not share your account credentials with others

4. Acceptable Use

4.1 Permitted Uses

You may use our Service only for lawful purposes and in accordance with these Terms. You agree to use the Service to:

  • Provide legal services to your clients in compliance with applicable law
  • Maintain attorney-client privilege and confidentiality
  • Comply with all applicable professional conduct rules

  • To violate any international, federal, provincial, or state regulations, rules, laws, or local ordinances

  • To submit false or misleading information
  • To upload or transmit viruses or any other type of malicious code
  • To spam, phish, pharm, pretext, spider, crawl, or scrape
  • For any obscene or immoral purpose
  • To interfere with or circumvent the security features of the Service

5. Legal Professional Responsibilities

5.1 Professional Conduct

As a legal professional using our Service, you acknowledge and agree that:

  • You remain solely responsible for all legal advice and services provided to your clients
  • Our Service is a tool to assist your practice, not a substitute for professional judgment
  • You must review and verify all AI-generated content before using it in legal matters
  • You must comply with all applicable rules of professional conduct
  • You must maintain appropriate attorney-client privilege protections

5.2 Client Confidentiality

You agree to:

  • Maintain the confidentiality of all client information processed through our Service
  • Obtain appropriate client consent before uploading client data to our platform
  • Comply with all applicable data protection and privacy laws
  • Implement appropriate security measures to protect client information

6. Intellectual Property Rights

6.1 Our Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of Gotolawya and its licensors. The Service is protected by copyright, trademark, and other laws. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

6.2 Your Content

You retain ownership of all content you upload, create, or share through our Service ("Your Content"). By using our Service, you grant us a limited, non-exclusive, royalty-free license to use, store, and process Your Content solely for the purpose of providing the Service to you.

6.3 AI-Generated Content

Content generated by our AI systems is provided as a tool to assist your legal work. You acknowledge that:

  • AI-generated content may not be accurate, complete, or appropriate for your specific legal matter
  • You are responsible for reviewing, verifying, and modifying all AI-generated content
  • We do not guarantee the accuracy or completeness of AI-generated content
  • You should not rely solely on AI-generated content for legal advice or decisions

7. Privacy and Data Protection

Your privacy is important to us. Our collection and use of personal information in connection with the Service is governed by our Privacy Policy. By using the Service, you consent to the collection and use of information as set forth in the Privacy Policy.

8. Payment Terms

8.1 Subscription Fees

Access to certain features of our Service requires payment of subscription fees. All fees are non-refundable unless otherwise specified in writing. We reserve the right to change our pricing with 30 days' notice to existing subscribers.

10.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL GOTOLAWYA, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICE.

11. Indemnification

You agree to defend, indemnify, and hold harmless Gotolawya and its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including attorney's fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party right, including without limitation any copyright, property, or privacy right
  • Any claim that Your Content caused damage to a third party

12. Termination

12.1 Termination by You

You may terminate your account at any time by contacting us or using the account termination features in the Service.

12.2 Termination by Us

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

12.3 Effect of Termination

Upon termination, your right to use the Service will cease immediately. All provisions of the Terms which by their nature should survive termination shall survive termination, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

13. Governing Law and Dispute Resolution

13.1 Governing Law

These Terms shall be interpreted and governed by the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions.

13.2 Dispute Resolution

Any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the Arbitration and Conciliation Act of Nigeria. The arbitration shall be conducted in Lagos, Nigeria.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the sole and entire agreement between you and Gotolawya regarding the Service and supersede all prior and contemporaneous understandings, agreements, representations, and warranties.

14.2 Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

14.3 Waiver

No waiver by Gotolawya of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition.

14.4 Assignment

You may not assign or transfer these Terms or your rights and obligations hereunder without our prior written consent. We may assign these Terms without restriction.

14.5 Force Majeure

We shall not be liable for any failure or delay in performance under these Terms which is due to fire, flood, earthquake, elements of nature, or acts of God, acts of war, terrorism, strikes, labor disputes, or any other cause which is beyond our reasonable control.

15. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect.
